Minimum Advertised Price Policy (MAP)
Hurtta has determined that it would be beneficial to adopt a minimum advertised price (“MAP”) policy. This MAP policy is designed to maintaining price integrity for all Hurtta products.
Effective March 5th 2021, a minimum advertised price (MAP) on all Hurtta products will be in effect. This policy has been unilaterally adopted by Hurtta and will be uniformly enforced.
This MAP policy covers all Hurtta dealers and wholesale distributors located in the United States and Canada. Although dealers and wholesale distributors remain free to establish their own resale prices, Hurtta will, without assuming any liability, unilaterally impose sanctions as described in this policy against dealer or wholesale distributor who advertise Hurtta products at prices below those specified herein. Hurtta will not discuss any conditions of acceptance related
to this MAP policy, as it is non-negotiable, and will not be altered for any dealer or wholesale distributor. Hurtta neither solicits, nor will it accept, any assurance of compliance with this MAP policy. Nothing in this MAP policy or in any other contract or agreement with Hurtta shall constitute an agreement between Hurtta and a dealer or wholesale distributor that a dealer or wholesale distributor will comply with this MAP policy.
MAP applies only to minimum advertised prices and does not apply to the price at which the products are actually sold, or to advertised prices higher than the unilateral minimum resale prices established by Hurtta Manufacturing from time to time.
Minimum Advertised Price
The Minimum Advertised Price (MAP) shall be the most current published Manufacture Suggested Retail Price (MSRP) list. For example, a Hurtta Product with a MSRP of $50.00 has a (MAP) of $50.00.
The products and MAP may be changed from time to time at the sole discretion of Hurtta. Hurtta dealers and wholesale distributors are responsible for remaining current with MAP policy, products, and pricing.
Hurtta may specifically identify products that are not subject to the MAP policy. Each advertisement below the MAP will be a violation of the policy.
The MAP policy applies to all advertisements and shipments to end users/consumers of Hurtta products in and all media including, without limitation, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, Internet or similar electronic media, television, radio and public signage.
Hurtta products must be sold and shipped directly by an authorized dealer or wholesale distributor. Any unauthorized movement of products by a dealer or wholesale distributor to another division, exporter, or shipment to another unauthorized organization or by a wholesale distributor to any end user/consumer is in violation of MAP Policy.
The internet is considered as any other medium for advertising and the same rules and violations that apply to print apply to dealers and wholesale distributors who use this electronic medium for advertising, and/or price offering or order placement. To remain in compliance with the MAP guidelines all advertised prices to end user/consumer should be at or above the MAP listed price prior to placement in the shopping cart or member price.
In the event a dealer or wholesale distributor chooses not to follow the Hurtta MAP policy, sanctions will be unilaterally imposed by Hurtta.
Violations of MAP policy shall be determined by Hurtta in its sole discretion. Hurtta will not accept any communication from a dealer or wholesale distributor who has violated this MAP policy regarding the violation or the willingness of the dealer or wholesale distributor to bring its prices into compliance with the MAP policy. Failure to abide by the policy, even unintentionally, will result in the termination of dealership or distributorship.
In the US and Canada the day after Thanksgiving is regarded as Black Friday. Starting at 12am Friday (Black Friday) continuing through the weekend and ending at 12am the following Tuesday (Cyber Monday) there will be a MAP Holiday on Hurtta products. Hurtta dealers can use these dates to take advantage of sales opportunities without adhering to the MAP policy. In addition, Canada Day on July 1st and Independence Day on July 4th are also accepted as MAP Holidays. There is also a MAP holiday for Cold Weather Jackets, Extreme Winter Jackets and Extreme Overalls March 1-30, should Resellers wish to clear out Fall items to make room for Spring. These four time-intervals are the only exceptions to the Hurtta MAP policy throughout the calendar year.
In addition, Hurtta may, in its sole discretion, modify the list of Products subject to this MAP Policy and/or revise or suspend the MAP with respect to all or certain Products. A “MAP Holiday” refers to any temporary suspension or revision of this MAP Policy announced by Hurtta for one or more Products for a specified period of time. Hurtta reserves the right to amend, replace or supplement the terms and conditions of this MAP Policy from time to time in its sole discretion and any action related to this MAP Policy shall be a unilateral decision of Hurtta taken in its sole discretion.
Hurtta is not seeking agreement from any dealer or wholesale distributor to adhere to this MAP policy. It is entirely within the discretion of the dealer or wholesale distributor whether to comply or not comply.
HURTTA SALES PERSONNEL HAVE NO AUTHORITY TO MODIFY OR GRANT EXCEPTIONS TO THIS POLICY OR HAVE ANY COMMUNICATIONS WITH ANY DEALER OR WHOLESALE DISTRIBUTOR REGARDING VIOLATIONS OF THIS MAP POLICY.
